Business details. These Terms & Conditions apply to services supplied by Janis Ribakovs, a sole trader trading as Yanyy. Business address: 29A Westgate, Grantham, NG31 6LX, United Kingdom. “Yanyy”, “we”, “us” and “our” mean Janis Ribakovs trading as Yanyy. “Client”, “you” and “your” mean the person or business purchasing our services.
1. Services and scope
Services may include website design and development, responsive layouts, forms, maps, domain connection, launch support, branding, hosting, maintenance, search engine optimisation and other digital services described in an agreed quotation. Each project should have a written quotation, order confirmation or other written scope identifying the principal deliverables, price and any material assumptions.
2. Quotations and acceptance
Quotes are based on the information available when they are prepared and may change if the scope, requirements or third-party costs change. A project becomes accepted when the Client confirms the quotation or otherwise instructs us to proceed and any required deposit has been received. A quotation is not a guarantee that every requested feature can be delivered within the quoted price unless it is expressly included.
3. Payment
Unless a quotation states otherwise, a 50% deposit is required before website development begins. The remaining 50% is payable when the agreed website work is substantially complete, after the Client has had a reasonable opportunity to review it, and before launch or transfer of the final deliverables. Monthly services are billed according to the agreed billing arrangement.
Invoices are payable by the due date stated on the invoice. We may pause work or suspend services where an undisputed invoice remains overdue, subject to applicable law and any agreed notice requirements.
4. Client responsibilities
The Client must provide accurate information, lawful content, suitable images, approvals, feedback and access details reasonably required to complete the project. The Client is responsible for ensuring that content and materials supplied to Yanyy do not infringe another person's intellectual property, privacy or other rights.
Delays in receiving required information, approvals or access may affect the project timetable. Yanyy is not responsible for delay caused by the Client or by third-party services outside our reasonable control.
5. Revisions and changes to scope
Reasonable revisions included in the agreed scope will be handled as part of the project. Major redesigns, additional pages, new functionality, integrations, substantial content creation or other work outside the agreed scope may be quoted separately before that work is carried out.
6. Hosting and maintenance
Unmanaged Hosting — £7.99/month: hosting, SSL, server infrastructure, domain connection assistance and basic technical support. It does not include regular content edits or ongoing website management.
Managed Website — £40/month: hosting, SSL, maintenance, small edits, content updates, technical maintenance, backups and general support within reasonable limits. Large development tasks, emergency work and substantial changes may be charged separately.
Hosting depends on third-party infrastructure and internet connectivity. We will take reasonable steps to maintain service, but cannot guarantee uninterrupted availability. Where appropriate, clients may migrate to another provider. Migration assistance may carry a separate fee if it requires substantial work.
7. SEO
Local SEO at £19/month provides one optimisation cycle per month focused on relevant local visibility. Advanced SEO at £49/month may include competitor research, content recommendations, technical checks and monitoring as described in the quotation. SEO is an ongoing activity and no specific Google ranking, traffic level, lead volume or revenue result is guaranteed.
8. Third-party services
Websites may use third-party services such as domain registrars, hosting infrastructure, payment providers, map services, email services, APIs, analytics tools, plugins, fonts or other software. Third-party services are subject to their own terms, availability, pricing and technical limitations. Where a third-party service requires a separate subscription or account, the Client may be responsible for that cost unless the quotation expressly states otherwise.
9. Intellectual property and ownership
The Client retains ownership of its own business information, domain name, supplied content and materials it owns. Subject to payment of all amounts due, final bespoke website materials created specifically for the Client are supplied for the Client's use, unless the quotation states otherwise.
Yanyy may use its own pre-existing code, templates, methods, know-how and reusable components across projects. Third-party software, fonts, stock images, plugins, APIs and other licensed materials remain subject to their respective licences and may not transfer to the Client.
10. Portfolio and publicity
Yanyy may request permission to display completed work in its portfolio or case studies. Client-confidential information will not be intentionally published without appropriate permission. Concepts, mock-ups and development projects will be described accurately and will not be presented as completed client work where they are not.
11. Cancellation and refunds
Cancellation requests should be made in writing. Charges may apply for work already completed, time specifically reserved, third-party costs already incurred or services already supplied. Deposits are not automatically refundable where work has started or resources have been committed, but this does not remove any statutory rights that apply.
If you are a consumer, you may have additional rights under UK consumer law, including rights relating to distance contracts and cancellation. Where a consumer asks us to begin a service during a statutory cancellation period, we may require the consumer's express request and may charge for the proportion of service supplied before cancellation where permitted by law. Nothing in these Terms limits or excludes statutory consumer rights.
12. Website content and launch approval
The Client is responsible for checking factual accuracy, prices, contact details, legal statements and other business information before launch. The Client's approval of a website or deliverable confirms that it has had a reasonable opportunity to identify corrections within the agreed scope.
13. Liability
We will provide services with reasonable care and skill. To the extent permitted by law, we are not responsible for indirect or consequential losses, loss of profit, loss of business, loss of anticipated savings or failures caused by third-party providers, internet connectivity, cyber incidents outside our reasonable control or inaccurate information supplied by the Client.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or applicable statutory consumer rights. Any liability limitation for business customers will be applied only to the extent reasonable and legally enforceable.
14. Events outside reasonable control
We are not responsible for delay or failure caused by events outside our reasonable control, including major infrastructure failures, hosting outages, cyber incidents, internet failures, government action, natural disasters or failures of essential third-party services. We will take reasonable steps to resume affected services.
15. Suspension and termination
Either party may end an ongoing service arrangement in accordance with the notice or cancellation terms agreed for that service. We may suspend or terminate services where there is serious misuse, unlawful activity, a material breach of these Terms, or persistent non-payment, subject to applicable law and reasonable notice where appropriate.
16. Changes to services and prices
Monthly service features and prices may be changed where reasonably necessary. Where a change materially affects an ongoing subscription, we will provide reasonable notice and explain the available options. Changes do not affect work already paid for under an accepted fixed-price quotation unless the scope is changed by agreement.
17. Complaints
If you are unhappy with a service, please contact hello@yanyy.uk with details of the issue. We will review the complaint and try to resolve it reasonably. Nothing in this section prevents a consumer from using any statutory rights or remedies available to them.
18. Governing law
These Terms are governed by the laws of England and Wales, subject to any mandatory consumer protection rights that apply to you. The courts of England and Wales will have jurisdiction, except where applicable law gives a consumer the right to bring proceedings elsewhere.
